Terms and Conditions for Scroll Co LLC Subscription Web Design Plans

Effective Date: October 10th 2023

These Terms and Conditions (“Terms”) govern your use of the subscription web design plans (“Services”) provided by Scroll Co LLC (“Company,” “we,” “us,” or “our”). By subscribing to or using our Services, you (“Client” or “you”) agree to these Terms.

  1. Services Provided

1.1. Scroll Co LLC offers subscription-based web design, hosting, and maintenance services, as detailed on our website (scrollco.com).

1.2. The Services include:

  • A custom-designed WordPress website.
  • Ongoing maintenance to ensure the website remains functional, secure, and responsive.
  • WordPress editor access for Clients to update and manage their website content.

1.3. Clients retain ownership of their domain name and any assets provided, such as images and written content.

1.4. Scroll Co LLC retains ownership of all proprietary code, custom designs, and backend systems.

1.5. If the subscription is canceled or terminated, the Client will lose access to the website. Clients may retain ownership of their domain and provided assets but not the design, functionality, or code.

1.6. Clients are prohibited from reproducing, duplicating, or otherwise copying the website’s design or proprietary elements after the cancellation or termination of their subscription.

  1. Subscription Plans, Features, and Payment

2.1. Subscriptions are billed weekly, monthly or annually, based on the Client’s selected plan.

2.2. All payments are non-refundable, including instances of dissatisfaction with the Services.

2.3. Plan Tiers and Features: Scroll Co LLC reserves the right to modify, update, or discontinue plan tiers, features, or pricing at any time without prior notice. Continued use of the Services after changes are made constitutes acceptance of the updated terms.

2.4. Subscription fees may change with 30 days’ notice. Continued use after the price change constitutes acceptance of the new rates.

2.5. Non-payment may result in suspension or termination of Services.

  1. Cancellation Policy

3.1. Clients may cancel their subscription using one of the following methods:

  • Self-Service Portal: Cancellation through our portal is the preferred and immediate solution.
  • Contacting Us: Clients may also request cancellation via the contact methods listed on our website.

3.2. Cancellations are effective at the end of the current billing cycle. Clients will retain access to their website until the final day of their subscription term.

3.3. No prorated refunds are provided for cancellations made mid-billing cycle.

  1. Ownership and Intellectual Property

4.1. Clients own their domain name and any assets they provide, including but not limited to images, text, and logos.

4.2. Scroll Co LLC retains ownership of all proprietary code, custom designs, and backend systems.

4.3. Websites created under the subscription are licensed to the Client for use during their subscription term. This license is non-transferable and non-exclusive.

4.4. Upon cancellation or termination, Clients are prohibited from reproducing, duplicating, or otherwise copying the custom design or proprietary elements of the website.

4.5. Any feedback, suggestions, or ideas provided by Clients to improve the Services may be used by Scroll Co LLC without obligation of confidentiality, attribution, or compensation.

  1. Content, Data, and Maintenance

5.1. Client Responsibility for Content Management: Clients are responsible for updating and managing their website content after publication. This includes, but is not limited to, text, images, blog posts, and other elements.

5.2. Service Scope: The subscription service does not include regular updates to website content, data uploads, or edits initiated by the Client.

5.3. Maintenance Provided by Scroll Co LLC: As part of the subscription, Scroll Co LLC provides maintenance services, which include but are not limited to:

  • Ensuring the website remains functional and responsive.
  • Regular updates to WordPress core, themes, and plugins.
  • Monitoring and addressing security vulnerabilities to maintain website safety.
  • Repairing errors caused by standard system failures or compatibility issues.

5.4. Exclusions from Maintenance Services: Maintenance does not cover:

  • Data recovery for content accidentally deleted or modified by the Client.
  • Website redesigns, additional features, or custom coding not covered under the initial subscription plan.

5.5. Additional Assistance: Requests for content updates, data restoration, or non-maintenance-related tasks may be fulfilled for an additional fee and are subject to a separate agreement.

  1. Limitation of Liability

6.1. The Services are provided “as-is” and “as-available” without warranties of any kind, express or implied.

6.2. Scroll Co LLC shall not be liable for:

  • Loss of revenue, profits, or business opportunities.
  • Indirect, incidental, or consequential damages.
  • Errors or inaccuracies in content provided by the Client or published on their behalf.

6.3. The Client’s sole remedy for dissatisfaction with the Services is to discontinue use and cancel their subscription.

  1. Indemnification

7.1. Clients agree to indemnify and hold harmless Scroll Co LLC, its employees, agents, and affiliates from any claims, liabilities, or damages arising from:

  • Content provided by the Client for use on their website.
  • Content posted by the Company on behalf of the Client.
  • Business losses or damages resulting from website downtime, errors, or other technical issues.

7.2. Scroll Co LLC is not responsible for damages resulting from third-party tools or services integrated into the website.

  1. Governing Law

8.1. These Terms are governed by the laws of the State of Florida.

8.2. Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in Miami, Florida.
